Clear expectations help every project run smoothly. These terms explain how ThePixel approaches project agreements, payments, client responsibilities, changes, and cancellations.
Each engagement includes a written agreement defining the services, deliverables, fees, and schedule. These website terms apply only when expressly incorporated into that agreement. If the documents conflict, the signed project agreement takes precedence.
Project Agreements
Before work begins, ThePixel and the client approve a written agreement identifying:
- The services and deliverables included.
- The project fee and payment schedule.
- The anticipated timeline and client responsibilities.
- Included revisions and approval milestones.
- Applicable cancellation terms and ownership rights.
Work begins after the agreement is signed, the required initial payment is received, and necessary materials and access are provided.
Payments & Invoicing
Payment amounts, due dates, and accepted payment methods are specified in the project agreement and invoices.
An initial payment may be required to reserve project time and begin work. Additional payments may be tied to project milestones or final delivery.
If an invoice becomes overdue, ThePixel will provide written notice and an opportunity to resolve the balance before pausing work. A pause may affect delivery dates and availability. Any late fees must be expressly stated in the signed agreement.
Client Responsibilities
Clients provide accurate information, content, account access, feedback, and approvals needed to complete the agreed work. Clients are responsible for having permission to use the materials they supply.
A designated contact should coordinate feedback and approvals. Consolidated feedback helps prevent conflicting instructions and unnecessary revisions.
ThePixel will identify required materials and response dates during project planning.
Timelines & Delays
Project schedules depend on timely payments, access, materials, feedback, and approvals.
If required items are delayed, ThePixel will explain the effect on the schedule and propose revised dates. The original completion date may no longer be achievable.
If a project remains inactive for 30 consecutive days because required client input has not been received, ThePixel may place it on hold after written notice. Restart timing depends on availability. Any additional restart work or fee requires written approval before work resumes.
If ThePixel anticipates a delay, the client will be notified and an updated schedule will be discussed.
Revisions & Approvals
The project agreement specifies the number and type of revisions included.
Revisions refine work within the approved scope. New pages, features, integrations, deliverables, or substantial changes to approved work may require a separate estimate.
Written approval confirms a milestone is ready to move forward. Later changes to approved work may affect the fee and schedule.
Additional Work & Scope Changes
Requests outside the agreed scope are reviewed before work begins.
ThePixel will provide a written description of the additional work, its fee, and any effect on the timeline. Additional work begins only after written approval from the client’s authorized contact.
A discussion or request alone does not authorize additional charges.
Project Cancellation
Either party may request cancellation in writing. The project agreement identifies the notice requirements and any opportunity to resolve an issue before termination.
If a client cancels, ThePixel will provide an itemized closing statement showing completed work, approved expenses, payments received, and any remaining balance or refund.
For a partially completed fixed fee project, the agreement will define how completed work is valued, such as by milestones or an agreed hourly rate. Payments already received will be credited against that amount.
Any cancellation or reserved time fee must be expressly stated in the signed agreement. An initial payment is not automatically forfeited because a project is cancelled.
If ThePixel ends an engagement, the same accounting process applies. Any prepaid amount not earned or otherwise payable under the agreement will be refunded.
Refunds & Closing Balances
Refunds are calculated from the closing statement and applicable agreement terms.
Completed work and approved expenses remain payable. Any remaining prepaid balance will be refunded after the final accounting is completed, subject to applicable law.
A cancellation does not automatically make the entire remaining
Final Deliverables & Ownership
The project agreement identifies the final deliverables and the ownership or usage rights the client receives.
Any agreed transfer of ownership or license takes effect according to the signed agreement, including its payment requirements.
Unless otherwise agreed, unused concepts, working files, internal tools, and reusable methods remain with ThePixel. Client supplied materials remain the client’s property.
Third party software, fonts, photography, plugins, and other licensed materials remain subject to their respective license terms.
Client owned accounts and materials are not treated as ThePixel’s property.
Hosting, Maintenance & Ongoing Services
Hosting, maintenance, website management, and recurring services have separate service terms.
Those agreements define renewal dates, billing, cancellation notice, transition assistance, and any applicable charges. Cancelling a design project does not automatically cancel a separate hosting or maintenance service.
Service suspension or termination follows the applicable agreement and written notice process.
Results & Recommendations
ThePixel provides services intended to improve website quality, usability, visibility, and business performance.
Results depend on factors including traffic, market conditions, implementation, customer behavior, and ongoing decisions. Specific revenue increases, conversion rates, search rankings, or placement in AI search results are not guaranteed.
Questions & Communication
Questions about scope, invoices, scheduling, or cancellation should be raised promptly so both parties can work toward a clear resolution.

Changes to These Terms
Updates to this webpage do not automatically change an existing signed agreement. Changes to an active engagement require written agreement by both parties.
